3. Nature of the Relationship

3.1 Marketplace intermediary

Tera operates as a marketplace platform facilitating the discovery and ticketing of wellness events. Tera is not an organiser, co-organiser, or provider of any Event. The contract for the organisation and delivery of any Event is formed directly between the Event Host and the Client.

3.2 Independent contractor

The Event Host is an independent contractor. Nothing in this Agreement creates any employment, agency, partnership, or joint venture. The Event Host is solely responsible for tax, insurance, regulatory compliance, and health and safety obligations connected to their Events.

3.3 No exclusivity

This Agreement is non-exclusive. The Event Host may list on other platforms; Tera may onboard other event hosts in any location or modality.

4. Event Host Onboarding & Approval

4.1 Application

To list Events, the Event Host must complete Tera's application form at meettera.com/list-event, providing:

  • Full legal name and trading name (if applicable)
  • Contact details and location
  • Description of the type of events to be listed
  • Stripe Connect onboarding details for payment receipt
  • Confirmation of public liability insurance (recommended — see 8.3)

4.2 Approval

Tera reserves the right to approve or reject any application at its sole discretion. Approval is not guaranteed. No credentials or qualifications are required to apply, but Tera may take the nature and suitability of proposed Events into account.

4.3 Representations on application

By submitting an application, the Event Host warrants that all information is true and accurate, they have the legal right to organise and sell tickets, and they hold all licences and consents required.

5. Event Listings & Content

5.1 Creating an Event Listing

Each Event Listing must accurately describe the Event: name and full description, date/time/location, Ticket Tiers and prices, capacity per tier and total, and any prerequisites, age restrictions, or accessibility information.

5.2 Ticket Tiers

The Event Host may offer multiple Ticket Tiers per Event. Each tier must have a clearly stated price and description. Commission applies to each Ticket Tier at the rate in Clause 7.

5.3 Capacity

The Event Host sets total and per-tier capacity. Tera closes sales automatically when a tier reaches capacity. The Event Host is responsible for accuracy and compliance with venue, licensing and safety requirements.

5.4 Content standards

Content must be accurate, not infringe IP, avoid defamatory or discriminatory material, comply with UK ASA guidelines, and make no unsubstantiated medical claims.

5.5 Tera's right to edit or remove Content

Tera may edit, remove, or de-list any Event Listing or Content that breaches these standards, using reasonable endeavours to notify the Event Host.

5.6 Licence to Content

The Event Host grants Tera a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute their Content on the Platform and in Tera's marketing materials. The Event Host retains ownership.

6. Tickets, Cancellations & Refunds

6.1 Ticket purchase

Tickets are purchased directly through the Platform. Bookings are confirmed immediately on payment; no host approval is required.

6.2 Non-refundable tickets — Client cancellation

All Tickets are non-refundable. If a Client cancels or cannot attend, no refund will be issued. The Event Host must ensure this policy is clearly displayed on the Event Listing.

6.3 Event Host cancellation

If the Event Host cancels an Event, all Clients receive a full automatic Stripe refund, the listing is removed, no Payout is due for that Event, and repeated cancellations may result in suspension.

6.4 Event rescheduling

If the Event Host reschedules, all ticket-holders must be notified via the Platform and offered a transfer to the new date or a full automatic refund. A minimum 7 days must be allowed for this choice.

6.5 Event delivery

The Event Host is solely responsible for delivering each Event to a professional standard and in compliance with all applicable laws and licences.

11. Liability & Indemnity

11.1 Tera's limitation of liability

To the fullest extent permitted by law, Tera is not liable for the quality, safety, legality, or outcome of any Event, nor for any Client's actions. Tera's total aggregate liability shall not exceed the total Commission paid by the Event Host in the 12 months preceding the claim. Indirect, consequential, special, or punitive loss is excluded.

11.2 Event Host indemnity

The Event Host indemnifies Tera against any claims arising from any Event they organise or deliver, breach of this Agreement, their Content, Client claims arising from their conduct, or breach of applicable law.

12.3 Termination by Tera

For convenience on 30 days' notice; immediately for material breach, risk to Client safety, false representations, or insolvency.

12.4 Effect of termination

Listings are de-published, active-ticket Events are cancelled and refunded, outstanding Payouts for completed Events are released under 7.2, and clauses 7, 10, 11 and 13 survive.

13. Confidentiality

Each party will keep confidential the other's non-public information, subject to standard exceptions (already public, already known, or legally required disclosure).

14. Reviews & Ratings
